Avnel Gold’s Board of Directors is responsible for the stewardship of the Company and for supervising the management of its business and affairs. In fulfilling these duties, the Board oversees strategic planning, operations, risks, executive management, integrity, governance, environment matters, sustainable development initiatives, material transactions and financial reporting.

The Board has established four standing committees to ensure that its oversight responsibilities are reasonably fulfilled. The Board’s current committees are the Audit Committee, the Compensation Committee, Corporation Governance and Nominating Committee, and Reserves, Resources and Environmental Committee.

Pursuant to its charter, the Audit Committee has established a confidential and anonymous process whereby persons can report any accounting concerns relating to the Company and its subsidiaries, which is outlined in the Company’s Whistleblower Policy below:
